Groups To Protest Sale Of BEI

Fort Smith-based nursing home operator BEI’s pending sale to New York-based North American Senior Care is the stated reason for a demonstration planned today outside DeKalb County Superior Court in Georgia. NASC will spend $13 a share, or more than $1.9 billion to buy BEI.

BEI Posts Sizable Revenue

BEI’s revenues climbed 11.3 percent in the third quarter, and its net revenue dropped 10 percent due to costs related to its sale process.
On Monday, the Fort Smith-based eldercare services provider reported revenues of about $583.9 million, compared to $524.8 million in the 2004 third quarter.

LITTLE ROCK - The company trying to buy Fort-based Beverly Enterprises Inc. has sent a letter to lawmakers in western Arkansas saying it plans to keep the company's headquarters in Arkansas, a state legislative panel was told Tuesday. Rep. Stephen Bright, R-Maumelle, said a letter wasn't enough and demanded that such a pledge be included in the sales documents.

Beverly Enterprises Inc.'s buyer, North American Senior Care Inc., moved one step closer to closing the deal after submitting letters of credit to finance the acquisition of the country's secondlargest nursing home chain. North American also confirmed in a filing Monday with the U.S. Securities and Exchange Commission that Beverly's 264 nursing homes, including 13 in Arkansas, will be sold to SBEV Property Holdings LLC.

Beverly Enterprises Inc. said Friday that it has received debt commitment letters and a solvency opinion from North American Senior Care Inc., which is buying the Fort Smith-based nursing home chain.
